Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the EduSuite CRM website, platform, and services (“Services”). By signing up, creating an account, or otherwise using our Services, you agree to these Terms. If you do not agree, you must not use EduSuite CRM.
1. Definitions
“Account Holder” means the individual or business that subscribes to EduSuite CRM.
“Client Data” means information uploaded, entered, or stored by you or your users within the CRM.
“User” means anyone granted access to your EduSuite CRM account.
“We”, “us”, “our” means EduSuite CRM / RTO Coaching and Consultancy Pty Ltd.
“You” means the Account Holder or authorised User of our Services.
2. Using EduSuite CRM
You may use our Services only for lawful, legitimate business purposes. You must not:
- Use EduSuite CRM for illegal or harmful activities
- Send spam, unsolicited messages, or breach the Spam Act 2003
- Upload malware or malicious content
- Interfere with the platform or security systems
- Attempt to reverse-engineer or copy our systems
- Harass, abuse, or exploit others
- Misuse automation or AI tools
You are responsible for:
- Keeping login credentials secure
- Ensuring your users follow these Terms
- Ensuring your content and messaging comply with applicable laws
- Maintaining the accuracy of your account information.
3. Account Registration
To use EduSuite CRM, you must:
- Provide accurate registration details
- Keep your information up to date
- Not impersonate any other person or business
- Be at least 18 years old
We may refuse, suspend, or terminate accounts where information is inaccurate, incomplete, or used to mislead.
4. Subscription, Billing & Payments
4.1 Subscription Fees
Subscriptions automatically renew at the end of each billing cycle unless cancelled 30 days prior to renewal.

Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal.
4.3 Billing Cycles
Billing may be monthly or annual. Charges apply at the start of each cycle.
4.4 Secure Payments via Stripe or eWay
Payments are processed securely through a third-party payment service (e.g., Stripe). We do not store full credit card details.
4.5 Failed Payments may cause suspension
If a payment fails:
- We may suspend your account and restrict access to the platform until payment is received
- We may continue to attempt to bill and collect subscription fees
4.6 Price Changes with reasonable notice
We may change pricing with reasonable notice. Changes will apply from your next billing cycle.
4.7 Refunds only where required by ACL
We do not offer refunds for:
- Change of mind
- Accidental purchases
- Unused time in a billing period
- Failure to cancel prior to renewal
Refunds may be granted only where required by Australian Consumer Law.
5. Cancellation & Termination
5.1 You May Cancel Anytime
You may cancel your subscription at any time via your account settings or by contacting support.
Upon cancellation:
- Your subscription will remain active until the end of the paid period
- No refunds are issued for partial periods
- Your CRM data may be deleted following the closure process
5.2 We May Suspend or Terminate
We may suspend or terminate your account if:
- You breach these Terms
- You misuse the platform
- Payments fail repeatedly
- You engage in illegal or harmful conduct
- Your use threatens platform stability or security
In serious cases, termination may occur without notice.
6. Intellectual Property
6.1 Our Intellectual Property
All intellectual property in the EduSuite CRM, including:
- Software
- Code
- Designs
- Documentation
- Branding
- Platform features
- AI tools
…belongs to EduSuite CRM or our licensors.
You receive a limited, non-exclusive, non-transferable licence to use the platform for your business while your subscription is active.
6.2 Your Content
You retain ownership of Client Data and all content you upload.
You grant us a limited licence to:
- Store the data
- Process it according to your instructions
- Provide technical support
- Maintain and improve the service
- Comply with legal requirements
We do not access Client Data except where required for support, security, or legal obligations.
7. Client Data & Privacy
7.1 Your Responsibilities
You are responsible for obtaining any necessary permissions from individuals whose information you collect and store within the EduSuite CRM.
7.2 Our Responsibilities
We store and process Client Data on secure third-party cloud infrastructure.
We act as a data processor for Client Data, and you act as the data controller.
7.3 Privacy Policy
Use of the EduSuite CRM is subject to our Privacy Policy. By using the platform, you acknowledge you have read and understood it.
7.4 Cookie Policy
Cookies are small text files placed on your device to improve your browsing experience.
We use:
- Essential cookies for platform functionality.
- Analytics cookies (e.g., Google Analytics).
- Functionality cookies to remember preferences.
- Advertising/remarketing cookies for relevant ads.
Trusted third parties may place cookies for analytics, security, and advertising. You may disable cookies via your browser settings, though some features may not function.
8. Email & SMS Sending Compliance
EduSuite CRM may allow you to send email and SMS messages.
You must comply with:
- Australia’s Spam Act 2003
- Telecommunications Act 1997
- Privacy Act 1988
- Any relevant international anti-spam laws
This includes ensuring:
- You have consent to message recipients
- You include required unsubscribe mechanisms
- Messages are not misleading or deceptive
Failure to comply may result in account suspension.
9. Service Availability & Support
9.1 Availability
We aim to keep our Services available at all times, but:
- Availability is not guaranteed
- Planned maintenance may occur
- Outages or disruptions may happen
- Third-party infrastructure may affect uptime
We are not liable for downtime, loss of revenue, or business interruption resulting from outages.
9.2 Support
Support is available via email or ticketing during business hours (NSW, Australia).
Response times may vary depending on workload and issue severity.
10. Third-Party Integrations
EduSuite CRM may integrate with external tools and services.
We are not responsible for:
- Third-party availability
- Third-party performance
- Security of external links
- Data processing by third-party tools
Your use of third-party services is at your own risk and subject to their terms
11. Limitation of Liability
To the extent permitted by law:
- We exclude warranties, guarantees, and conditions not expressly stated in these Terms
- We are not liable for indirect, incidental, special, or consequential loss
- Our maximum liability is limited to the amount you paid us in the previous 12 months
Nothing in these Terms excludes your rights under the Australian Consumer Law.
12. Indemnity
You agree to indemnify us against claims, losses, damages, or expenses resulting from:
- Your breach of these Terms
- Your misuse of the platform
- Your messaging or marketing activities
- Disputes between you and your customers or contacts
- Your use of third-party integrations
13. Data Security & Breach Notification
We use reasonable safeguards to protect your information.
If a data breach occurs, we will:
- Investigate promptly
- Take corrective measures
- Notify affected individuals where required
- Notify the OAIC where legally required
You must notify us immediately if you suspect unauthorised access to your account.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be heard in NSW courts.
15. Changes to These Terms
We may update these Terms occasionally. We will provide reasonable notice where changes are material. Continued use of the platform signifies acceptance of the revised Terms
